Agreement to Terms

By accessing or using the SomebodyMakeIt platform ("Platform"), you agree to be bound by these Terms & Conditions ("Terms"). If you don't agree to these Terms, you may not use our Platform.

1. About SomebodyMakeIt

SomebodyMakeIt is a collaborative platform for turning product ideas into reality. We connect idea creators with makers and validators to create, validate, and produce physical products with shared intellectual property rights and revenue distribution.

2. User Accounts and Eligibility

2.1 Account Creation

• You must be at least 16 years old to use our Platform
• You must provide accurate and complete registration information
• You're responsible for maintaining the security of your account
• You must notify us immediately of any unauthorized access

2.2 Account Types

• Creators: Submit and develop product ideas
• Makers: Build and manufacture products
• Validators: Provide feedback and demand validation
• Hybrid Users: Can participate in multiple roles

2.3 Account Responsibilities

• One account per person or legal entity
• No sharing of accounts or credentials
• Accurate profile information and maker capabilities
• Compliance with community guidelines

3. Platform Services

3.1 Idea Submission and Validation

• Submit original product ideas with descriptions and sketches
• Participate in demand validation and feedback collection
• Protect your intellectual property through our IP framework
• Collaborate with other users to refine ideas

3.2 Maker Marketplace

• Connect with qualified makers for product development
• Access tools for project management and communication
• Receive payments and royalty distributions
• Maintain quality standards and delivery commitments

3.3 Community Features

• Participate in discussions and provide feedback
• Share knowledge and expertise with other users
• Attend virtual and physical events
• Access educational resources and maker spotlights

4. Intellectual Property and Idea Timestamping

4.1 Your Content

• You retain full ownership of your original ideas and creations
• You grant us a limited license to display and process your content on our platform
• You represent that your submissions don't infringe third-party rights
• You are solely responsible for protecting and enforcing your intellectual property rights

4.2 Timestamping Service (Premium Feature)

For paying subscribers, we provide technical timestamping services:

• Ideas are stored on IPFS (distributed ledger) with verifiable timestamps
• Provides technical proof of when you submitted content to our platform
• Does not constitute legal protection, advice, or enforcement services
• You remain responsible for all IP protection and legal matters

4.3 Platform IP

• SomebodyMakeIt retains rights to our platform, technology, and brand
• You may not copy, modify, or reverse engineer our platform
• Our trademarks and content are protected by intellectual property laws

4.4 No Legal Services

Important: SomebodyMakeIt does not provide legal advice, IP protection services, arbitration, or dispute resolution. We are a marketplace platform only. Users are responsible for their own legal affairs and IP protection.

5. User Conduct and Community Guidelines

5.1 Prohibited Activities

• Submitting false, misleading, or stolen content
• Harassment, discrimination, or abusive behavior
• Spam, promotional content unrelated to the platform
• Attempting to circumvent platform fees or revenue sharing
• Sharing harmful, illegal, or inappropriate content
• Manipulating validation processes or fake engagement

5.2 Quality Standards

• Maintain professional communication and behavior
• Provide accurate information about capabilities and timelines
• Deliver promised services and meet quality expectations
• Respect intellectual property and confidentiality agreements

5.3 Community Standards

• Foster a supportive and inclusive environment
• Provide constructive feedback and criticism
• Respect diverse perspectives and creative approaches
• Report violations of these Terms or community guidelines

6. Payments and Transactions

6.1 Platform Fees (Future)

We currently do not charge fees or process payments. When payment features are implemented:

• Transaction fees will apply to payments processed through our platform
• Fee structure will be clearly disclosed before any transactions
• Fees may change with reasonable notice to users

6.2 Pre-orders and Escrow (Future)

When implemented, our platform may facilitate pre-order collection and escrow services similar to crowdfunding platforms:

• Funds collected from pre-orders will be held until makers begin production
• Makers are solely responsible for delivering promised products
• SomebodyMakeIt acts only as a payment facilitator, not a guarantor
• Refund policies will be determined per project and clearly disclosed

6.3 User Responsibilities

• Users must conduct their affairs with care and trust cautiously
• Makers are solely responsible for fulfilling their commitments
• Tax obligations are the responsibility of individual users
• SomebodyMakeIt provides marketplace services only, not guarantees

7. Privacy and Data Protection

Our Privacy Policygoverns how we collect, use, and protect your personal information. By using our Platform, you also agree to our Privacy Policy.

• You control the visibility of your ideas and profile

8. Platform Availability and Modifications

8.1 Service Availability

• We strive for high uptime but don't guarantee uninterrupted service
• Maintenance periods may temporarily limit access
• We're not liable for service interruptions beyond our control

8.2 Platform Changes

• We may modify features, functionality, or these Terms
• Material changes will be communicated with reasonable notice
• Continued use constitutes acceptance of modified Terms

9. Limitation of Liability

9.1 Platform Liability

• We provide the platform "as is" without warranties
• We're not responsible for disputes between users
• Our liability is limited to the maximum extent permitted by law
• We don't guarantee the success of any project or collaboration

9.2 User Liability

• You're responsible for your content, actions, and agreements
• You indemnify us against claims arising from your platform use
• You're liable for any damages caused by Terms violations

10. Termination

10.1 Account Termination

• You may delete your account at any time
• We may suspend or terminate accounts for Terms violations
• Content may be retained as required by law or ongoing obligations

10.2 Effect of Termination

• Access to the platform ceases immediately
• Existing agreements and obligations may survive termination
• Revenue sharing continues for completed projects

Upon account deletion, we will delete or anonymize your personal information within 30 days as detailed in our Privacy Policy.

11. Platform Role and User Responsibilities

SomebodyMakeIt operates as an impartial marketplace platform. We facilitate connections between users but do not participate in, guarantee, or arbitrate user transactions or relationships.

11.1 Platform Limitations

• We do not verify user claims, capabilities, or project feasibility
• We do not guarantee project completion or product delivery
• We do not provide dispute resolution or arbitration services
• We do not offer legal advice or IP protection services
• We are not responsible for user conduct or transaction outcomes

11.2 User Due Diligence

Users are strongly encouraged to:

• Conduct their affairs with care and trust cautiously
• Verify capabilities and credentials of collaborators
• Establish clear agreements outside our platform when necessary
• Seek independent legal advice for IP or contractual matters
• Understand risks associated with collaborative projects

11.3 Dispute Handling

In the event of disputes between users, we may provide basic communication facilitation at our discretion, but we do not serve as mediators or arbitrators. Users should:

• Attempt direct resolution between involved parties
• Seek professional mediation services if needed
• Consult legal counsel for significant disputes
• Understand that platform participation does not guarantee outcomes

12. Governing Law and Legal Disputes

These Terms shall be governed and construed in accordance with the laws of Norway. Any legal disputes between you and SomebodyMakeIt (not disputes between users) will be subject to the jurisdiction of Norwegian courts.

User-to-User Disputes: Disputes between platform users are not governed by these terms and must be resolved independently by the involved parties.

13. Norwegian Consumer Rights

As a Norwegian company, we comply with Norwegian consumer protection laws, including the Norwegian Consumer Purchases Act (Forbrukerkjøpsloven) and the Norwegian Marketing Control Act (Markedsføringsloven). These laws may provide you with additional rights not outlined in these Terms.

These Terms are subject to ongoing legal review and will be updated as our platform develops and as we receive professional legal guidance. We will provide notice of material changes as described in the "Changes to These Terms" section.
